1. Background

This Site connects small business owners with independent provider law firms and legal professionals (the "Provider Law Firms") across the United States so that such Provider Law Firms can promote their own practices, and so members of the public can learn about business-related legal topics and interact with attorneys. Not every ZIP code or issue category will have a Provider Law Firm available at all times.

The Site allows you to submit information about your business and its legal needs, and to request contact from a Provider Law Firm to discuss your situation and, if you choose, to potentially engage that firm. You acknowledge and agree that Small Business Legal Help does not refer attorneys, does not endorse or recommend any Provider Law Firm, and makes no representation or judgment as to the qualifications, expertise, or credentials of any participating lawyer or firm. Provider Law Firms are included based on payment of an advertising or membership fee. Whether to work with any particular Provider Law Firm is your decision alone.

Small Business Legal Help is not a law firm. We do not receive any portion of a Provider Law Firm's fees, and any arrangement you make with a Provider Law Firm is strictly between you and that firm and does not involve Small Business Legal Help. We do nothing more than: (a) operate this Site to help business owners connect with Provider Law Firms, and (b) in certain cases, provide ancillary support services (such as intake, scheduling, or informational content).

2. Purpose

A Provider Law Firm may provide legal advice to you only if you choose to engage that firm as your legal counsel. The Site does not create, and is not intended to create, an attorney-client relationship between you and Small Business Legal Help, any Provider Law Firm, or any attorney associated with the Site, and the receipt of an email, chat message, or form submission through the Site does not create an attorney-client relationship. Each Provider Law Firm is solely responsible for the services it provides to you, and you agree that Small Business Legal Help is not liable for any damages or costs arising out of or related to your use of such services, including claims based on malpractice. Any claim arising from your relationship with a Provider Law Firm or attorney must be brought solely against that firm or attorney, not against Small Business Legal Help.

You should not act or rely on any information on the Site without seeking and retaining the advice of an attorney.

3. Submission of Information

By submitting information through the Site (including through our chat intake tool, exposure assessment, or contact forms), you agree that we may share your contact information and any other information you submit with one or more Provider Law Firms, their agents, licensors, and marketing partners, and other third parties, in accordance with our Privacy Policy. You understand that Provider Law Firms and these third parties may contact you directly by phone, text, or email regarding your submission, unless you request in writing not to be contacted.

We are not obligated to release your submitted information to any Provider Law Firm, and no Provider Law Firm is obligated to contact you. By accepting your submission, we do not evaluate your legal matter, and we do not offer any opinion as to whether you may have remedies under current law. Forming an attorney-client relationship is an important decision between you and a Provider Law Firm; you may wish to seek independent counsel to meet any applicable deadlines. By submitting information through the Site, you are requesting contact by phone and/or text and agree that you may be contacted as described in this Agreement and our Privacy Policy, notwithstanding your listing on any do-not-call registry.

4. Privacy Policy

Your personal information is subject to our Privacy Policy, which is incorporated into this Agreement by reference.

5. Participation in the Site

By submitting information to, reading, participating in, or otherwise using the Site, you agree to the following:

• You will use the Site in good faith and will not transmit, post, or provide any content that is false, misleading, that you do not have a lawful right to share (such as confidential information from an employment relationship or a nondisclosure agreement), or that threatens, harasses, or infringes on the rights of any person or entity. We may suspend or terminate your access to the Site for violating this rule.
• You will not misrepresent your identity or your affiliation with any person, business, or organization.
• You will not use any device (worm, virus, bot, scraper, etc.) intended to disrupt, overload, or impair the Site.
• You will not collect or store personal data about other users, or use the Site for data mining or content extraction beyond your own personal use.
• You will use the Site only to seek legal information or a Provider Law Firm for your own business's legal needs (a "Permissible Use"). Using the Site to solicit, hire, or interfere with Small Business Legal Help's employees, affiliates, or Provider Law Firms is not permitted.
• You will not violate any applicable local, state, federal, or international law in connection with your use of the Site.
• You are solely responsible for any content you submit through the Site. We do not guarantee the accuracy of user-submitted content and are not liable for any loss or damage resulting from it.

We may, but are not obligated to, review, refuse, or remove any content submitted through the Site that violates this Agreement or is otherwise objectionable.

6. Intellectual Property Rights

The Site and any software used in connection with it contain proprietary and confidential information protected by applicable intellectual property law. Nothing in this Agreement grants you any license or right in our content, trademarks, or other intellectual property by implication or otherwise. No part of the Site's materials, including graphics or logos, may be copied, reproduced, or reused without our specific written permission.

7. No Solicitation

You may not distribute, on or through the Site, any solicitation or advertising material without our express prior written permission.

8. Indemnity

Any claim arising from your use of a service listed on the Site is limited to the particular Provider Law Firm involved, and Small Business Legal Help is not liable for any costs or damages arising from your decision to work with any Provider Law Firm listed on the Site. You agree to indemnify and hold harmless Small Business Legal Help, its affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys' fees, arising from content you submit, your use of the Site, or your violation of this Agreement or the rights of another person.

9. Termination

We may, in our sole discretion, terminate or restrict your access to the Site at any time, with or without notice, including for lack of use or violation of this Agreement. We are not liable to you or any third party for any such termination.

10. Third-Party Content and Links

The Site may contain or link to third-party content. We are not responsible for the accuracy, legality, or appropriateness of any third-party content, and such content does not reflect our views.

11. Dealings with Advertisers

Any dealings you have with advertisers or Provider Law Firms found through the Site are solely between you and that party. We are not responsible for any loss or damage arising from such dealings.

12. Disclosures Regarding Attorney Advertising

THIS IS AN ADVERTISEMENT. The decision to hire a lawyer is an important one and should not be based solely on advertisements. Anyone considering legal counsel should independently investigate a lawyer's or firm's credentials and experience rather than relying solely on advertising or self-described expertise.

No Provider Law Firm operates as a lawyer-referral service, and no representation is made that the quality of legal services provided by any Provider Law Firm is greater than that of any other lawyer. Memberships, certifications, or listed areas of practice do not mean a lawyer is a specialist or is more competent than any other lawyer, except where a jurisdiction's bar has a formal certification process and the attorney holds that certification. We encourage you to independently investigate and evaluate any lawyer or firm you are considering.

Descriptions of past outcomes obtained by Provider Law Firms, if any appear on the Site, do not guarantee or predict a similar outcome in your matter. Every case depends on its own facts and circumstances.

This Site is not intended to advertise legal services to be performed in any state by a Provider Law Firm not licensed in that state. To the extent the Site does not comply with the laws of a jurisdiction, Provider Law Firms do not wish to, and will not knowingly, accept representation resulting from Site use by a person located in that jurisdiction. THIS SITE IS VOID WHERE PROHIBITED.

Additional State-Specific Disclosures

Florida: Small Business Legal Help may be considered a lawyer referral service in the state of Florida under the Florida Rules of Professional Conduct. By all other standards, Small Business Legal Help operates as a group advertisement and not a lawyer referral service. See our state disclosures page for more information.

Hawaii: There is no procedure for review or approval of specialist certification organizations in Hawaii.

Mississippi and Missouri: See our state disclosures page for additional required information.

Wyoming: The Wyoming State Bar does not certify any lawyer as a specialist or expert. Anyone considering a lawyer should independently investigate the lawyer's credentials and not rely on advertisements or self-proclaimed expertise.

15. Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the limitations in Sections 13 and 14 may not apply to you.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and us regarding your use of the Site and supersedes any prior agreements. Additional terms may apply to specific services, affiliate services, or third-party content.

Our failure to enforce any right or provision of this Agreement does not waive that right or provision. If a court finds any provision invalid, the remaining provisions remain in full force and effect. Section headings are for convenience only and have no legal effect.

19. Statute of Limitations

Any claim arising from your use of the Site or this Agreement must be filed within one (1) year after the claim arose, or it is permanently barred, regardless of any longer statute of limitations that might otherwise apply.

20. Attorney Ethics Notice

If you are an attorney participating in any aspect of this Site, you acknowledge that the rules of professional conduct in your licensing jurisdiction(s) apply to your participation, and that you are solely responsible for compliance, including rules relating to advertising, client solicitation, and unauthorized practice of law. We disclaim all responsibility for your compliance with applicable rules of professional conduct.

21. Acknowledgment
